Terms of Service

Eligibility Requirements:

• You must be at least 13 years old to use PostWave
• You must provide accurate and complete registration information
• You must maintain the security of your account credentials
• You may only maintain one account per email address

Account Responsibilities:

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must keep your contact information current and accurate
• You are responsible for maintaining the confidentiality of your login credentials

Acceptable Use:

• Use PostWave only for lawful purposes and in accordance with these Terms
• Respect intellectual property rights and obtain necessary permissions for content
• Maintain the security and integrity of the Service
• Provide accurate information and keep your account information current

Prohibited Activities:

• Uploading illegal, harmful, or inappropriate content
• Violating any applicable laws or regulations
• Infringing on intellectual property rights
• Attempting to gain unauthorized access to our systems
• Using the Service for spam, harassment, or malicious activities
• Reverse engineering or attempting to extract our source code
• Reselling or redistributing our Service without permission

Content Ownership:

• You retain all rights to content you upload or create using PostWave
• You grant us a limited license to process and transmit your content to connected platforms
• You are solely responsible for the content you publish through our Service
• We do not claim ownership of your content or intellectual property

Subscription Plans:

• Starter ($4/month): Up to 15 social accounts with unlimited posting
• Professional ($8/month): Up to 50 social accounts with unlimited posting
• Business ($12/month): Unlimited accounts with unlimited posting

Billing Terms:

• Subscriptions are billed monthly in advance
• Payment is processed through Paddle, our secure payment provider
• All fees are non-refundable except as required by applicable law
• We reserve the right to change pricing with 30 days' notice
• Accounts with overdue payments may be suspended or terminated

Cancellation:

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• No partial refunds are provided for unused portions of subscription periods
• You retain access to your account until the end of your paid period

Service Availability:

• We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions beyond our reasonable control
• Some features may have usage limits based on third-party API restrictions

Service Modifications:

• We reserve the right to modify or discontinue features with reasonable notice
• New features may be added to existing subscription plans
• Some modifications may require updated terms of service
• Critical security updates may be implemented without prior notice

Service Disclaimers:

• PostWave is provided "as is" without warranties of any kind
• We do not guarantee that the service will be error-free or uninterrupted
• We are not responsible for content posted by users
• Third-party platform integrations may be subject to external limitations

Limitation of Liability:

• Our total liability to you shall not exceed the amount paid for the service in the last 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for losses resulting from third-party platform changes
• You use the service at your own risk and discretion

Indemnification:

You agree to indemnify and hold PostWave harmless from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

Termination by You:

• You may terminate your account at any time from your account settings
• Termination cancels future billing but doesn't provide refunds for current periods
• You may export your data before termination

Termination by Us:

• We may terminate accounts that violate these terms
• We may suspend accounts with overdue payments
• We will provide reasonable notice except in cases of severe violations
• We may terminate the service entirely with 30 days' notice

Effect of Termination:

• All rights and licenses granted to you will cease
• Your data will be deleted according to our Privacy Policy
• Connected social media accounts will be disconnected
• Scheduled posts will no longer be published

Dispute Resolution:

• We encourage resolving disputes through direct communication first
• Formal disputes may be subject to binding arbitration
• Small claims court proceedings are permitted for qualifying disputes
• Class action lawsuits are waived to the extent permitted by law

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PostWave regarding the use of our Service.

Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

Assignment:

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Updates to Terms:

We reserve the right to update these Terms at any time. Material changes will be communicated via email or service notification. Continued use constitutes acceptance of updated terms.
